An event focused on Personal Risk Management for Non-Executive Directors

Who would be a non-executive director in 2017? Are UK financial services just too risky to discharge such a responsibility? What really are the risks involved?

Many actuaries often in the later stages of their career accept positions as non-executive directors – often within insurance or other financial services firms. There is continuing demand for directors who can bring to corporate governance risk management experience, a probabilistic mindset and explicit commitment to a professional ethos. On the other hand there are many actuaries who believe that the risks are too great and that the burden will fall heavily on the actuary NED should a firm and/or its stakeholders encounter difficulties. Which group is right?

The Regulation Board in collaboration with the NED MIG set up a working party mainly of NEDs to explore these questions and to develop guidance for IFoA members contemplating pursuing a vocation as directors. On 14 November the working party will be consulting the community of active and potential actuary NEDs on how professional membership can be a positive in discharging their responsibilities.

This discussion should be of real interest to actuaries already acting as NEDs and to those contemplating such work as part of their future careers.

Suzie Lyons

Suzie is Head of Legal Services at the IFoA, and plays a senior role in the development of regulatory and disciplinary policy and strategy. She is a qualified solicitor in Scotland, England and Wales, and comes to the IFoA from a commercial litigation background with 15 years’ experience in private practice, latterly at international law firm CMS focusing on financial service sector professional negligence defence work. Suzie was also a Council Member for the Law Society of Scotland for 6 years.

Des Hudson

Des is currently chair of the IFoA’s Regulation Board. After a period in private practice as a solicitor, he worked extensively in financial services, has been Chief Executive of the Institute of Chartered Accountants of Scotland and Chief Executive of the Law Society of England and Wales. In his role as lay chairman Des plays a key role in the implementation of the IFoA’s regulatory strategy, helping it to fulfil its commitment to serve the public interest and command the confidence of all of its stakeholders.

Marcia Cantor Grable

Marcia is a NED for Chaps Clearing where she chairs the Risk Committee and is a member of the Strategy and Finance Committee. She is in the process of developing her non executive portfolio, principally in financial services. Over Marcia’s 35+ year career, she has worked in insurance, banking (corporate and consumer), and corporate finance principally at Prudential (plc), General Electric, and Mellon Bank at Board and Executive Committee levels, including as CRO and Chief Compliance Officer. Previously, she was the CEO of two insurance companies, one based in the UK providing mortgage insurance to European banks, and one in the US providing fully insured medical insurance and other employee benefits.

Martin Pike, Mike Evans, Marcia Cantor Grable, Des Hudson

Martin Pike: Martin is a non-executive director at Standard Life Aberdeen Plc where he chairs the Risk and Capital Committee, and he sits on the Audit Committee. He is a non-executive director of esure Group Plc, where he chairs the Remuneration Committee and is a member of the Risk Committee. He is a non-executive director of Faraday Underwriting Limited, part of the Berkshire Hathaway Group which manages a syndicate at Lloyds, where he chairs the Audit and Risk Committee. Martin spent nearly thirty years as a strategic risk consultant carrying out a wide range of strategic consulting projects and M&A assignments. His senior roles included managing director, risk consulting & software, EMEA at Towers Watson.

Mike Evans: Mike has over 11 years experience as a NED having "gone plural" in 2006 after 20 years with Skandia. He is in his final months as Chairman of Hargreaves Lansdown, is Chairman of ZPG (previously know as Zoopla Property Group), and the SID at Chesnara.
